After preparing the Confidential Information Memorandum (CIM), we determine a potential market valuation for the business, establishing a competitive and strategic price range for marketing the opportunity to prospective buyers.

Define Potential Acquirer

Through a collaborative review with you, we analyze the prospective buyer universe, carefully considering the characteristics of your ideal acquirer. Based on this, we develop a targeted buyer list that includes financial sponsors—such as private equity firms and family office investors—as well as strategic buyers, including market competitors and corporations in adjacent sectors. Before initiating outreach, Colossal ensures your approval of the finalized buyer list.

Market Outreach

We do market outreach to the potential target Acquirer. The initial round of marketing is done on an anonymous basis, providing a certain layer of confidentiality.

Initial Interest

Following personalized follow-ups by Colossal, if a prospective buyer expresses interest in the opportunity, they must first sign a Non-Disclosure Agreement (NDA). Upon execution of the NDA, the buyer receives a comprehensive business overview, including a Confidential Information Memorandum (CIM), to support their investment committee’s decision-making process.

Engagement

The Colossal team actively engages with prospective buyers, providing deeper insights into the opportunity and addressing any additional questions they may have to better understand the business’s value. Additionally, Colossal facilitates and coordinates meetings between prospective buyers and the company’s management team as needed to strengthen interest and advance discussions.

LOI to Definitive Agreement

Colossal will work to secure a Letter of Intent (LOI) with the prospective buyer. Following the LOI, we collaborate with your team to facilitate the buyer’s due diligence process and provide ongoing support in negotiations, ensuring the completion of final definitive agreements and a successful transaction for you and your shareholders.
